Welcome to QuickBD ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website, services, software products, and any related support or consulting provided by QuickBD. By accessing our website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use our services.
QuickBD provides a range of IT and software solutions including but not limited to:
Doctor Appointment System
e-Prescription System
Pharmacy Store & POS Solution
Hospital Management System (HMS)
School, University & Madrasa Management System
Apartment Management System
Custom Software Development
Hardware Solutions
Network & Security Solutions
IT Consultancy
Detailed specifications, deliverables, timelines, and pricing for each project will be outlined in a separate Service Agreement, Proposal, or Statement of Work (SOW) signed by both parties.
The Client agrees to:
Provide accurate, complete, and timely information required for project execution.
Assign a responsible point of contact for coordination and feedback.
Review and approve deliverables within agreed timelines.
Ensure compliance with all applicable local and international laws regarding data, content, and usage of our software.
Provide necessary access to systems, servers, or third-party tools as required.
Delays caused by the Client may affect project timelines and may incur additional charges.
Pricing: All fees are outlined in the Service Agreement or Proposal and are quoted in [BDT / USD] unless otherwise stated.
Invoicing: Invoices are issued according to the payment schedule agreed upon (e.g., upfront, milestone-based, or upon completion).
Late Payment: Payments not received within [15/30] days of the invoice date may incur a late fee of [5-10%] per month or suspension of services.
Taxes: The Client is responsible for any applicable taxes, duties, or bank charges.
Upon full payment, QuickBD transfers ownership of the custom code, logic, and unique features developed specifically for the Client. However, QuickBD retains ownership of its core libraries, frameworks, reusable components, templates, and proprietary tools used in the development process.
For solutions such as the Doctor Appointment System, HMS, or School Management System provided under a license model, QuickBD retains full ownership. The Client receives a non-exclusive, non-transferable license to use the software for internal business purposes.
All QuickBD trademarks, logos, and brand assets remain the exclusive property of QuickBD and may not be used without written permission.
Both parties agree to keep confidential all non-public information including business strategies, client data, source code, technical documentation, and pricing. This obligation survives termination of these Terms for a period of [3-5] years.
QuickBD will not share Client data with third parties except:
As required by law
With explicit Client consent
To subcontractors bound by similar confidentiality terms
QuickBD takes reasonable technical and organizational measures to protect Client data. However, no system is 100% secure. The Client is responsible for maintaining backups of their own data unless a separate Managed Backup Service Agreement is signed.
For solutions involving patient, student, or resident data, the Client is responsible for compliance with applicable data protection laws (e.g., Bangladesh Digital Security Act, GDPR if applicable).
QuickBD warrants that services will be performed with reasonable skill and care consistent with industry standards.
QuickBD does not warrant that software will be error-free, uninterrupted, or fully secure.
Any third-party tools, plugins, or libraries used are provided "as is" with their own warranties.
To the fullest extent permitted by law, QuickBD disclaims all implied warranties, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law:
QuickBD's total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by the Client in the six (6) months preceding the claim.
QuickBD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility.
QuickBD shall not be liable for delays or failures caused by:
Client delays in providing feedback, approvals, or required information
Third-party service interruptions (hosting, payment gateways, etc.)
Natural disasters, war, strikes, government actions, internet outages, or other force majeure events
Either party may terminate a Service Agreement with 30 days written notice if the other party breaches a material term and fails to remedy within [15/30] days.
Upon termination:
Client pays for all work completed up to the termination date.
QuickBD delivers all completed, paid-for work products.
Licenses for ready-made software terminate immediately unless a post-termination transition period is agreed.
Support terms (response time, covered hours, exclusions) are defined in the Service Agreement or a separate Support & Maintenance Agreement. Basic support may include bug fixes for [30-90] days after delivery. Custom modifications, enhancements, or third-party integrations are billed separately.
QuickBD reserves the right to update these Terms at any time. Changes become effective when posted on our website or notified to existing clients via email. Continued use of our services after changes constitutes acceptance.
These Terms shall be governed by the laws of Bangladesh. Any disputes arising shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.
These Terms, together with any signed Service Agreement, Proposal, or SOW, constitute the entire agreement between QuickBD and the Client, superseding all prior communications.
